Terms of Service

1. Introduction and Acceptance
These Terms of Service govern your access to and use of the BriefSpark service, including any widgets, scripts, dashboards, websites, and related services (collectively, the “Service”).
The Service is provided by Formhaus Pte. Ltd., a company incorporated in Singapore, trading under the brand “BriefSpark” (“BriefSpark”, “we”, “us”, or “our”).
By creating an account, installing or embedding the BriefSpark widget on your website, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
If you are using the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf and that organisation will be responsible for your use of the Service.
2. Description of the Service
BriefSpark is an AI powered content summarisation and analytics tool that helps your audience:
- Summarise articles hosted on your website
- Tailor insights based on a selected role or persona
- Understand key points more quickly while browsing your content
The Service may include, without limitation:
- Widgets or scripts that you embed into your website or web builder
- AI generated article summaries and tailored insights
- Dashboards and analytics about how visitors interact with your content and summaries
- Storage and caching of summaries and interaction data
- Integrations with third party AI model providers such as OpenAI GPT and Google Gemini (now or in the future)
- Support and onboarding resources
The Service is currently offered in a beta phase and may change frequently. Features may be added, modified, or removed at any time.
3. Your Account and Responsibilities
To use certain features of the Service, you must create an account and provide accurate and up to date information.
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Ensuring that the content on your website that BriefSpark accesses is accurate and lawful
- Configuring the widget and any prompts in a way that is appropriate for your audience
- Complying with all applicable laws and regulations, including privacy and data protection laws
- Providing any necessary notices and obtaining any necessary consents from your website visitors for the use of cookies, tracking technologies, and AI services
You must promptly notify us if you become aware of any unauthorised use of your account or any breach of security.
4. Customer Content and End User Data
4.1 Customer Content
“Customer Content” means any content that you or your organisation provide or make available to the Service, including:
- Articles, pages, and other text on your website
- Metadata, images, and structured data associated with your content
- Custom prompts, configurations, and settings
You retain ownership of your Customer Content. By using the Service, you grant BriefSpark a worldwide, non exclusive, royalty free licence to access, use, host, store, copy, process, transmit, and display your Customer Content as necessary to:
- Provide, maintain, and improve the Service
- Generate summaries, tailored insights, and analytics
- Develop and improve our models, algorithms, and features (in an aggregated or de identified way where possible)
You represent and warrant that:
- You have all necessary rights and permissions to provide Customer Content to the Service
- Customer Content does not infringe the rights of any third party or violate any law
- Customer Content is not confidential to any third party without their consent
4.2 End User Data
“End User Data” means information collected from or about visitors to your website when the BriefSpark widget is present, including:
- Interactions with summaries and prompts
- Selections of roles or personas
- Usage metrics and analytics
- Technical data such as IP address, browser type, device identifiers, and cookies or similar technologies
To the extent that End User Data includes personal data, BriefSpark generally processes that data as a data intermediary or processor on your behalf, and you remain responsible for providing any required notices and obtaining any required consents from your end users.
You must not configure or use the Service to intentionally collect sensitive personal data (such as health, financial, or government identification numbers) unless we have agreed in writing.
5. Acceptable Use
You agree not to use the Service:
- For any unlawful, harmful, fraudulent, or misleading activity
- To generate or distribute content that is defamatory, discriminatory, hateful, explicit, violent, or otherwise inappropriate
- To process or generate medical, legal, financial, or other regulated advice without qualified human review
- To violate intellectual property rights or privacy rights of others
- To attempt to reverse engineer, decompile, or extract the underlying source code or models
- To interfere with or disrupt the integrity or performance of the Service or its infrastructure
- To attempt to gain unauthorised access to the Service or related systems
- In high risk environments where use of AI generated outputs could lead to death, personal injury, or significant property or environmental damage
We may suspend or terminate your access to the Service if we reasonably believe you have violated this section.
6. Third Party Providers and AI Models
The Service may rely on third party infrastructure, telemetric tools, and AI model providers such as OpenAI and Google (collectively, “Third Party Providers”).
By using the Service, you authorise us to transmit Customer Content and End User Data to Third Party Providers as necessary to provide the Service. Use of your data by Third Party Providers is subject to their respective terms and privacy policies.
We do not control and are not responsible for the outputs or availability of Third Party Providers. We may change or replace Third Party Providers at any time.
7. Plans, Billing, and Payment
If you subscribe to a paid plan:
- You agree to pay the fees described in your selected plan, plus any applicable taxes
- Fees may be charged on a subscription and or usage basis
- You authorise us or our payment processors to charge your chosen payment method on a recurring basis
- Unless otherwise stated, all fees are non refundable except as required by law
We may change pricing and plan features from time to time. We will use reasonable efforts to notify you in advance of any material changes that affect you. Your continued use after the effective date of a price change constitutes acceptance of the new pricing.
If your payment is overdue, we may suspend or limit your access to the Service until payment is made.
8. Beta Features
The Service and some of its features are provided as beta or early access offerings. Beta features:
- May be experimental and not fully tested
- May be modified, suspended, or discontinued at any time
- Are provided “as is” without any warranties
You understand and agree that using beta features may involve a higher level of risk of errors, outages, or data issues.
9. Intellectual Property
Except for Customer Content, all rights, title, and interest in and to the Service, including all software, code, designs, trademarks, and documentation are owned by BriefSpark or its licensors.
You are granted a limited, non exclusive, non transferable, revocable licence to use the Service for your internal business purposes in accordance with these Terms.
You must not remove or obscure any proprietary notices or branding on the Service.
10. Confidentiality
If you and BriefSpark have executed a separate non disclosure agreement, that agreement will govern. Otherwise, any non public information disclosed by one party to the other that is marked or should reasonably be understood as confidential must be used only for the purposes of these Terms and protected using reasonable care.
This confidentiality obligation does not apply to information that:
- Is or becomes publicly available without breach of these obligations
- Was known to the receiving party before disclosure
- Is received from a third party without breach of any duty
- Is independently developed without use of the confidential information
- Must be disclosed by law or court order (in which case, the receiving party will provide notice where legally permitted)
11. Privacy and Data Protection
Our collection and use of personal information through the Service is described in our Privacy Policy, which forms part of these Terms. By using the Service, you also agree to the Privacy Policy.
You are responsible for complying with applicable privacy and data protection laws in respect of your website and your end users, including providing appropriate privacy notices and obtaining any required consents for your use of the Service.
12. Service Availability and Support
We aim to provide a reliable Service, but you acknowledge that:
- The Service may be unavailable or interrupted due to maintenance, updates, or technical issues
- AI generated content may be inaccurate, incomplete, or inappropriate and is not a substitute for your own review
- We do not guarantee any particular conversion rates, engagement levels, or business outcomes
We may modify, suspend, or discontinue all or part of the Service at any time. Where reasonably practicable, we will provide advance notice of changes that materially affect your use of the Service.
13. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, with all faults and without warranties of any kind, whether express, implied, or statutory.
Without limiting the foregoing, we do not warrant that:
- The Service will be uninterrupted, secure, or error free
- AI generated outputs will be accurate, reliable, or suitable for any particular purpose
- The Service will meet your specific requirements or expectations
Any use of the Service and reliance on AI outputs is at your own risk.
14. Limitation of Liability
To the maximum extent permitted by law:
- BriefSpark will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or in connection with these Terms or the use of the Service
- BriefSpark’s total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the total amount you paid to BriefSpark for the Service during the twelve month period preceding the event giving rise to the claim
These limitations apply regardless of the legal theory, even if BriefSpark has been advised of the possibility of such damages, and even if a remedy fails of its essential purpose.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
15. Indemnity
You agree to indemnify, defend, and hold harmless BriefSpark and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service
- Customer Content
- Your violation of these Terms
- Your violation of any law or third party rights
16. Term and Termination
These Terms apply from the time you first use the Service and continue until terminated.
You may stop using the Service at any time and, if you have a paid subscription, you may cancel it through your account settings. Unless specified otherwise, cancellation will take effect at the end of the current billing period.
We may suspend or terminate your access to the Service if:
- You materially breach these Terms and do not cure the breach within a reasonable period after notice
- You fail to pay any fees when due
- We are required to do so by law or a regulator
- We discontinue the Service
Upon termination:
- Your right to access and use the Service will cease
- We may delete or anonymise Customer Content and End User Data after a reasonable retention period, subject to legal requirements
Sections that by their nature should survive termination will continue in force.
17. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Singapore, without regard to conflict of law rules.
Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Singapore.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, for example by email or through the Service.
Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
